Each structure explained simply

What each registration gives you β€” in plain language

Here is what you actually get from each structure, who it suits, what documents you need, and the realistic cost and timeline in Bangalore.

πŸ‘€
1. Proprietorship
One person starting small β€” the simplest, fastest way to begin

A proprietorship is the most basic way one person can start a business. There is no separate incorporated company β€” you run the business in your own name, with the registrations that apply to your business type and turnover. It is ideal for consultants, freelancers, small traders, local service providers, home-based businesses and solo entrepreneurs whose customers are mainly individuals or businesses in their area.

The compliance load is light compared to corporate structures. You file income tax as an individual. GST filing applies if your turnover crosses the threshold or if you register voluntarily. There is no separate ROC annual filing or company board meetings.

2. Partnership Firm
Two or more people starting a business together β€” traditional, simple, cost-effective

When two or more people want to start a business together and the business is expected to remain closely held and locally operated, a Partnership Firm is often the starting point. Common examples include trading businesses, small manufacturing units, family businesses, local service firms and professional practices where the partners know each other well and contribute capital or skills jointly.

A partnership is not a separate legal entity β€” the partners are personally liable for the firm’s obligations. For businesses with significant contracts, financial exposure or growth plans, we should compare Partnership vs LLP before proceeding. We have seen founders choose a cheaper partnership and then need to convert it within two years when they started taking large contracts. That conversation is always better to have upfront.

Before you choose partnership: Do not select it simply because it is the cheapest option. If your business involves substantial contracts, large financial exposure, or future expansion, an LLP or Private Limited Company may be more appropriate. We compare both for you before you decide.

3. Private Limited Company
A separate legal entity β€” the right structure for corporate growth, investment and expansion

A Private Limited Company is what most people mean when they search for “new company registration”. It creates a completely separate legal entity β€” an artificial person in the eyes of law β€” with its own Corporate Identity Number (CIN). This entity can own property, enter contracts, open bank accounts, take investment and operate independently of its directors and shareholders.

The name you register is validated and protected across India by the MCA. No other company can use the same or a deceptively similar name. This is important for building a brand β€” and is one of the key differences from a proprietorship or partnership, where anyone else can trade under a similar name in a different city.

Common business types that register as Private Limited: IT and software companies, startups seeking investment, manufacturing businesses, import-export companies, consulting firms, trading companies, technology agencies, and any business planning future corporate growth.

4. LLP β€” Limited Liability Partnership
Corporate structure with partnership flexibility β€” limited liability without a private company

An LLP combines the best of both worlds: the separate legal entity and limited liability protection of a company, with the operating flexibility of a partnership. Partners in an LLP are not personally liable for the firm’s debts beyond their agreed contribution β€” which is the key difference from a traditional partnership firm.

LLPs are particularly well-suited to professional firms, consulting businesses, service companies and founders who want a corporate entity but do not need the shareholder and investor structure of a Private Limited Company. There is no limit on the number of partners, and at least one designated partner must be an Indian resident.

Documents needed (each partner)

  • PAN card
  • Aadhaar card
  • Passport-size photo
  • Email and mobile number
  • Address proof
  • Registered office proof

What LLP registration delivers

  • Separate legal entity
  • Limited liability for all partners

LLP vs Pvt Ltd β€” key choice: If you want to raise equity investment from external investors, Private Limited is better. If your business model is professional services, consulting or a founder-managed operation without investment plans, LLP is often cleaner and lower compliance. We discuss this with you before you decide.

5. Producer Company
For farmers, agricultural collectives and eligible producer organisations

A Producer Company is a specific statutory structure under the Companies Act designed for eligible producers β€” typically farmers, artisans or other primary producers β€” who want to organise collectively, aggregate their produce, access better markets, obtain institutional credit, and access government schemes and subsidies together.

This is not a cheaper version of a Private Limited Company β€” it has specific formation requirements. The Companies Act provides particular routes: ten or more individual producers, two or more Producer Institutions, or a combination meeting the statutory criteria. Producer Companies can carry out producer-related activities such as processing, grading, pooling, packaging, storage, export and sale of produce on behalf of members.

Minimum requirements

  • 10+ individual producer members, or
  • 2+ Producer Institutions, or
  • Combination meeting statutory criteria
  • Minimum 5 directors required
  • DSC for each director
  • Producer eligibility documentation

Key benefits

  • Separate legal entity β€” like Pvt Ltd
  • Access to NABARD and govt. schemes
  • Collective bargaining and market access
  • Eligible for grants, loans and subsidies
  • Limited liability for members
  • Income tax benefits available

6. Section 8 Company
For NGOs, charities, education, social welfare and permitted non-profit purposes

A Section 8 Company is incorporated under the Companies Act for specific non-profit purposes β€” education, social welfare, charity, promotion of commerce, science, research, sports, religion and other permitted objects. The company cannot distribute profits to its members; all income must be applied towards the stated objects. This structure is used by NGOs, educational institutions, temples and religious trusts, charitable organisations, research bodies, clubs and community development organisations.

The MCA now integrates the Section 8 licence application directly into the SPICe+ incorporation process for new companies β€” so you do not need a separate application. The key is to establish the actual objective of the organisation clearly before incorporating. A Section 8 Company should not be chosen simply because someone told you it is cheaper than a private company.

Suitable for

  • NGOs and welfare organisations
  • Educational trusts and institutions
  • Temples, churches, mosques, religious bodies
  • Charitable foundations
  • Research and development organisations
  • Sports clubs and community bodies

Key features

  • Non-profit β€” no dividend distribution
  • Separate legal entity
  • Eligible for 80G / 12A tax exemptions
  • Name can include “Foundation”, “Association” etc.
  • Minimum 2 directors
  • Lower govt. fees than Pvt Ltd

Important: Do not choose Section 8 simply to save money on registration. The objects must genuinely be non-profit in nature. We review your purpose before advising Section 8 β€” the wrong choice creates compliance and legal problems later.

Common questions

New company registration in Bangalore β€” questions we answer every day

For most solo entrepreneurs starting a small business β€” consulting, freelancing, local trading, agency work, home-based services β€” a proprietorship is sufficient and costs much less in both registration and ongoing compliance. A Private Limited Company makes sense when you want a name protected across India, plan to raise investment, work with large corporate clients who require company invoices, or want to build a business that is separate from your personal legal identity. We discuss your actual plans and tell you which one genuinely fits β€” before you pay for anything.
The total cost has two parts: DSC Sign’s professional fee of β‚Ή6,000, and government charges of approximately β‚Ή16,000 for Karnataka β€” which includes DSC for directors, MCA filing fees, and stamp duty. The government amount can vary depending on your authorised capital and specific incorporation details. We give you the exact figure after reviewing your company details β€” before you pay. There are no hidden add-ons. The total for a straightforward Private Limited Company in Karnataka is typically around β‚Ή22,000 all-inclusive.
Proprietorship takes 1–2 working days. Partnership Firm takes 3–5 working days. Private Limited Company and LLP take 7–10 working days in straightforward cases β€” subject to MCA approval, name availability, and whether any resubmission is needed. Producer Company and Section 8 Company take 10–15 working days. These timelines assume complete documents are available from day one. Delays in documents or MCA queries can extend the timeline β€” we manage the MCA correspondence for you and respond to queries the same day.
Both are separate legal entities with limited liability. The key differences: Private Limited Company has shareholders and directors β€” suited for businesses planning to raise equity investment, have multiple stakeholders, or grow into a large corporate operation. LLP has partners β€” suited for professional firms, consultants and service businesses that want limited liability and a corporate entity but do not need the shareholder/investor structure. LLP is also slightly lower in compliance requirements and annual filing obligations. If you plan to raise funding from venture capital or angel investors, choose Private Limited. For a consulting or professional services firm with two or more founders, LLP is often more practical.
Yes β€” overseas founders can incorporate an Indian company. However, the documentation requirements are different: foreign subscribers and directors may need notarised, apostilled or consular-attested documents depending on their country. At least one director must be an Indian resident who has stayed in India for 182 days or more in the previous calendar year. Where an overseas founder needs a resident director, we assist with the legally correct process under the Companies Act. We do not treat this as a casual “proxy director” arrangement β€” the appointment must comply with MCA requirements and the director’s actual responsibilities. WhatsApp us your situation and country of residence for a specific explanation.
Most government tenders and contracts at any scale require a formal corporate entity β€” typically Private Limited Company or LLP β€” rather than a proprietorship or partnership. Government procurement portals like GEM (Government e-Marketplace) allow proprietorships and partnerships for smaller registrations, but larger contracts often require a company registration. Additionally, e-tender DSC (Digital Signature Certificate) is required for bidding on most government portals β€” and DSC Sign arranges this as part of our service. We explain which structure gives you the best access for the specific tenders you are targeting.
GEM (Government e-Marketplace) registration is available for proprietors, partnerships, LLPs and companies β€” you do not need a Private Limited Company to register on GEM. FSSAI (food licence) is also available for all business structures β€” it depends on the nature of your food business and your turnover. We assist with both GEM registration and FSSAI licensing as part of our post-registration support. If your primary goal is GEM registration or a food licence, we advise the most practical structure for your specific situation before you spend on incorporation.
